How to register a company in kenya.

    Its a Legal requirement for all companies to be registered to start trading legally in kenya.Company registration is done at Sheria House along Harambee Avenue.
    Below is step by step guide on how the registration is done:

    Step 1.Name search
    Submit three names of your desire to the registrar at a cost of KES. 1000fee is payable via M-Pesa paybill service). The submitted names may be accepted or rejected depending on rules governing name reservation or existence of another business with a similar name.This takes 3 days.
    The name is reserved for a period not exceeding 30 days.

    Step 2.Prepare Memorandum and Article of Association;
    These documents sets out the companies objectives, rules, subscribers and authorised share capital of your company.
    They are prepared by an advocate.This costs between Ksh. 4,500 – Ksh. 10,000.

    Step 3:Situation of Office Form.(fill form 201)
    This form contains details about the physical premises of the company and must be signed by one of the directors of the company or the secretary of the company.
    An advocate fills this form.

    Step 4:List of Directors Form(Fill form 203)
    This form contains the name of the company secretary and a list of all the directors. It must also be stamped by the company secretary
    A Certified Public Secretary of Kenya (CPS) and a member of the Institute of Certified Public Secretaries (ICPSK) should fill and sign the form.

    Step 5:Pay Stamp Duty
    The amount of money that you pay depends on your declared nominal capital, but the minimum is Ksh 2,140 based on the minimum nominal capital of Ksh 2,000.

    Step 6: Declaration of Compliance Form (sign form 208)
    This form must be signed by a commissioner of oaths on behalf of the company.

    Step 7:File the Documents at the Registrar’s office.
    All the documents should be forwarded to the Registrar of Companies.
    This process takes about three to four weeks after which you are issued with the certificate of incorporation.
    There is a varied fee attached to this step.

    Step 8:Purchase a company Seal
    This is a device that embosses the name of the company on official documents and it is used as a company signature.
